A. MEMBERSHIP AGREEMENT AND TERMS OF USE (GENERAL TERMS)

• Parties and definitions: This Membership Agreement; (COMPANY NAME) ((MERSİS/VKN), (ADDRESS)) and (COMPANY TITLE) real person merchants and/or legal entity merchants who want to benefit from the services offered through the (PATHRIN) mobile application and/or website.
• The role and scope of the platform: The platform provides a brokerage/communication service that brings together buyers and sellers in an electronic environment. The Platform is not the seller of the product/service subject to the advertisement; It is not a party to the contract between the buyer and the seller. The Platform cannot be held responsible for the performance of the commercial relationship to be established between the buyer and the seller, delivery, defect, refund, warranty/service, tax obligations and similar performances.
• Membership conditions and authorization statement: Membership is only for merchants engaged in B2B commercial activities. The Member acknowledges that he/she is using the Platform for professional/commercial purposes.
• Account security: The Member is obliged to keep his/her account information confidential and to be responsible for the transactions made through his/her account.
• Ad creation, content responsibility: The content and accuracy of the ad are the responsibility of the seller. The Seller agrees that the advertisements will comply with the law, honesty rules and Platform Advertisement Policy.
• Communication and routing: The in-platform messaging infrastructure is provided to facilitate the commercial communication of the parties. The Member agrees that he/she will not engage in behaviors aimed at systematically directing users out of the platform.
• Pricing, commission and invoicing: The paid/free features of the platform are announced through commission rates and payment plans. The seller is exclusively responsible for the invoices/taxes arising from its own sales.
• Limitations of liability: Platform; It does not guarantee the accuracy of the advertisement contents, product/service quality, accuracy of prices, buyer's ability to pay, and the seller's ability to perform.
• Intellectual property: The brand, interface, software, design, content and database rights of the Platform belong to (COMPANY TITLE).
• Data protection: Personal data is processed for the purposes and legal reasons specified in the KVKK Clarification Text.
• Term of the Agreement: Membership ends upon the closure of the account by the member or its termination by the Platform.
• Applicable law and jurisdiction: This agreement is governed by Turkish law. In disputes, (ISTANBUL (ÇAĞLAYAN)) Courts and Enforcement Offices are authorized.

B. SPECIAL ANNOUNCEMENT POLICY AND PLATFORM RULES

This policy sets the minimum standards for advertisements to be published on the Platform. The title and description of the ad must be truthful. Images must be compatible with the subject of the advertisement. Illegal products and services are prohibited.

C. KVKK CLARIFICATION TEXT

Data controller within the scope of KVKK: (COMPANY TITLE). Personal data (Identity, Company info, Account data, etc.) is processed for the purposes of Account management, publishing ads, communication, security, and fulfilling legal obligations.

D. OTHER APPROVALS & INFORMATION

Includes Explicit Consent for marketing communication, Commercial Electronic Message approvals (Scope of 6563), Cookie and SDK Information, Complaint procedures, and SELLER Additional Conditions for B2B sellers.
